End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("you" or "Licensee") and CTRL Colab ("CTRL Colab", "we", "us", or "Licensor") for the OpenBar software application, including all associated files, assets, and documentation (collectively, the "Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not install or use the Software.

Please read Section 11 (Disclaimer of Warranty) and Section 12 (Limitation of Liability) carefully — together they provide the Software "as is" and limit CTRL Colab's liability to you.

1. License Grant

Subject to your compliance with this Agreement and your payment of the applicable fee, CTRL Colab grants you a personal, non-exclusive, non-transferable, revocable license to install and use the Software.

Your license covers two (2) installations on devices that you own or control — for example one Windows computer and one Mac — for your personal or internal business purposes.

The license is perpetual for the 1.x version line: it does not expire, and it includes every 1.x update of the Software at no further cost. A future major version (2.0 and later) may require a new or upgraded license.

2. Description of the Software

OpenBar is a desktop utility for Windows and macOS that provides on-screen measurement, a color picker, screen capture, a special-character palette, and a local clipboard history. The Software runs locally on your device.

3. License Key and Activation

Your license is delivered as a license key emailed to you after purchase. The Software verifies this key entirely on your own device, using cryptography built into the application. Activation does not require an account, and the Software does not contact CTRL Colab or any other server to validate your license — at activation or at any time afterwards.

This means your copy continues to work offline, on an air-gapped machine, and if CTRL Colab's website is unavailable. It also means we cannot deactivate a license remotely; a license that is refunded or charged back is instead invalidated in subsequent releases of the Software, as described in Section 4.

You are responsible for keeping your license key confidential. Sharing or publishing it is a breach of Section 7.

4. Purchase, Price and Refunds

The Software is sold as a one-time purchase. Payment is processed by Paddle.com Market Ltd, which acts as the merchant of record for the transaction and is responsible for collecting and remitting applicable sales taxes, VAT and GST. Your purchase is therefore also subject to Paddle's own buyer terms.

Refunds are governed by our Refund Policy, which forms part of this Agreement. If a purchase is refunded or reversed, the license granted in Section 1 terminates, you must stop using the Software and remove it from your devices, and the associated license key may be listed as invalid in later releases.

5. Privacy and Data

The Software is designed to operate entirely on your device. It makes no network requests at runtime — there is no telemetry, no analytics, no automatic update channel, and no remote content, and this remains true of license activation as described in Section 3.

CTRL Colab does not collect, transmit, sell, or store your personal data, clipboard contents, screenshots, or color samples on any remote server. Any data created by the Software (such as settings, clipboard history, and color history) is stored locally on your device and remains under your control. You may clear this data at any time from within the Software. Further detail is in our Privacy Policy.

6. System Permissions

To function, the Software may require operating-system permissions, including screen capture/recording and clipboard access. On macOS these are requested the first time the relevant tool is used. These permissions are used solely to provide the Software's features on your device. You are responsible for ensuring you have the right to capture, sample, or copy any content you process with the Software.

7. Restrictions

Except as permitted by applicable law or by the open-source licenses described in Section 10, you agree not to:

  • (a) resell, rent, lease, or sublicense the Software for a fee;
  • (b) share, publish, distribute, or otherwise make your license key available to any other person;
  • (c) circumvent, disable, or tamper with the license verification in the Software;
  • (d) remove or alter any proprietary notices or branding; or
  • (e) use the Software for any unlawful purpose.

You are solely responsible for your use of the Software's capture and clipboard features and for complying with all applicable laws, including privacy and intellectual-property laws.

8. Ownership

The Software, including its name, logos, design, and the original code authored by CTRL Colab, is owned by CTRL Colab and is protected by applicable intellectual-property laws. Except for the license expressly granted in this Agreement and any rights granted under the open-source licenses referenced in Section 10, no rights are granted to you, whether by implication, estoppel, or otherwise.

9. Updates

CTRL Colab may, at its discretion, make updates, upgrades, or new versions of the Software available. Updates within the 1.x line are included with your license (Section 1). The Software has no automatic update mechanism; updates are obtained by downloading them yourself. This Agreement governs any such updates unless they are accompanied by a separate agreement, in which case that separate agreement applies.

10. Open-Source Components

The Software incorporates third-party open-source components (including, without limitation, Electron and React) that are licensed under their own respective terms. Nothing in this Agreement limits, supersedes, or modifies the terms of any applicable open-source license, and in the event of a conflict the applicable open-source license governs with respect to the corresponding component. A list of such components and their licenses is included with the installed Software and is also available from CTRL Colab on request.

11. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. CTRL COLAB DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Nothing in this Agreement excludes or limits any right you have under mandatory consumer-protection law in your country of residence that cannot lawfully be excluded or limited.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CTRL COLAB BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CTRL COLAB'S TOTAL CUMULATIVE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE SOFTWARE OR TEN U.S. DOLLARS (USD 10).

13. Term and Termination

This Agreement is effective until terminated. It will terminate automatically, without notice, if you fail to comply with any of its terms, or if your purchase is refunded or reversed as described in Section 4. Upon termination, you must stop using the Software and remove all copies from your devices. Sections 8, 11, 12, 13, and 14 survive termination.

14. Governing Law

This Agreement is governed by the laws applicable at CTRL Colab's principal place of business, without regard to its conflict-of-laws principles. If any provision of this Agreement is held to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15. Entire Agreement

This Agreement, together with the Refund Policy, the Privacy Policy and the Terms of Sale, constitutes the entire agreement between you and CTRL Colab regarding the Software and supersedes all prior or contemporaneous understandings, communications, and agreements, whether written or oral, regarding its subject matter.
