Terms of Service
These terms cover this website and buying from it. The Audexi application itself is covered by a separate document, and the split matters, so section 2 explains it before anything else.
Who we are
This website is operated by CTRL Colab LLC, a New Mexico limited liability company. We make Audexi, a desktop audio converter for Windows.
You can reach a person at hello@ctrlcolab.com.
What these terms cover, and what they don't
These terms cover this website: browsing it, buying a licence through it, downloading the software from it, and asking us for support.
They do not cover the software. Installing and running Audexi is governed by the End User Licence Agreement. If these terms and the licence agreement appear to say different things about the software, the licence agreement prevails.
Two other documents complete the set: the Privacy Policy and the Refund Policy.
Using this website
You may read this site, and download the software you have licensed. That is essentially all there is to do here — there are no accounts, no logins, and nothing to post.
We try to keep the site up and accurate, but we do not promise it will always be available or free of errors. We may change, move, or take down any part of it, including this page.
The site plays a short ambient soundtrack, which is off until you turn it on and can be turned off again with the same control.
Downloads and software
Audexi is a Windows application. We support Windows 10 and Windows 11. It is not sold or supported for any other operating system, and we do not promise it will run anywhere else.
Download only from this website or from a link we sent you. We cannot vouch for a copy of Audexi obtained anywhere else, and a copy from elsewhere may have been altered. If you are not sure a download is genuine, ask us.
What you may then do with the software is set out in the licence agreement, not here.
Purchases, pricing and taxes
Audexi costs $4.99 as a one-time purchase. It is not a subscription, it does not auto-renew, and there is nothing to cancel later.
Prices are in US dollars. Tax may be added at checkout depending on where you are. Payment is processed by Paddle.com Market Ltd, whose buyer terms also apply to your purchase., who handles the checkout, your receipt, and any tax. Their name may be what appears on your bank statement.
We may change the price at any time; the price you paid is the price for that purchase. If a price is displayed wrongly through an obvious error, we may cancel the order and refund you in full rather than honour a figure that was never intended.
After you buy, we email your licence file. If it does not arrive, check your spam folder and then email us — do not buy a second time.
Refunds
Fourteen days, any reason, no justification required. The full terms are on one page only, so that there is one copy to keep correct: the Refund Policy. That page governs.
Support
Support is by email at hello@ctrlcolab.com, from us, in English. We aim to reply within a couple of business days. We are a small company, not a 24-hour desk, and we would rather tell you that than promise otherwise.
What support covers: getting Audexi installed and licensed, reissuing a lost licence file, understanding what a setting does, and investigating a file that will not convert when it should.
What it does not cover: advice on your audio production, recovering files Audexi overwrote, converting your files for you, getting the software running on an operating system we do not support, or building features on request. We may decline a request that is abusive, or that asks us to help defeat the licensing.
Acceptable use
Do not attack, overload, scrape at damaging volume, or try to break into this website. Do not use it to distribute malware, to impersonate us, or to mirror the software for others to download. Do not use our name or logos to make it look as though we published something we did not.
Audexi converts audio you have the right to convert. What you do with copyrighted material is your responsibility, not ours.
Intellectual property and trademarks
The content of this site — its text, layout, graphics, and code — belongs to us or to our licensors. "Audexi", "CTRL Colab", and our logos are our trademarks.
You may link to this site, and quote a reasonable extract with attribution. You may not copy the site wholesale, present our material as your own, or use our marks in a way that suggests we endorse you.
The open-source components inside the application, and the rights they give you, are listed in section 8 of the licence agreement.
Third-party links and services
This site links out — to our payment provider, and to the services that host our typefaces and two JavaScript libraries. We do not control those services and are not responsible for them. Their own terms and privacy policies apply when your browser contacts them, and the Privacy Policy explains what they see.
Disclaimers
This website is provided "as is" and "as available", without warranty of any kind. To the maximum extent permitted by law we disclaim all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not promise the site will be uninterrupted, secure, or error-free, nor that its content is complete or current.
Warranties about the software — and their limits — are in section 10 of the licence agreement, which governs that question.
Limitation of liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, profit, or time, arising from your use of this website.
Our total liability for all claims relating to this website is limited to the amount you paid us in the twelve months before the claim, or $50 if you paid us nothing.
Nothing here excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud. Liability relating to the software is capped separately in section 11 of the licence agreement.
Changes to these terms
We may update these terms. When we do, we will change the effective date and version at the top of this page. Continuing to use the site after a change means you accept the updated terms. A change to these terms does not change the licence you already bought.
Governing law
These terms are governed by the laws applicable at CTRL Colab's principal place of business, without regard to conflict-of-laws principles.
Whatever that answer is, if your local consumer law gives you stronger rights than these terms, your law wins and we will honour it.
